{"id":8528,"date":"2025-10-09T23:06:07","date_gmt":"2025-10-09T17:36:07","guid":{"rendered":"https:\/\/simplebooks.com\/srilanka\/?p=8528"},"modified":"2025-10-12T22:56:56","modified_gmt":"2025-10-12T17:26:56","slug":"ngo-registration-in-sri-lanka","status":"publish","type":"post","link":"https:\/\/simplebooks.com\/srilanka\/ngo-registration-in-sri-lanka","title":{"rendered":"NGO Registration in Sri Lanka &#8211; A Step by Step Guide"},"content":{"rendered":"\n<p><em>Updated as of 2025<\/em><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Mandatory registration and re-registration introduced in 2024 was by way of a regulation issued by National Secretariat for Non-Governmental organizations fully implemented in this year; where NGOs must register or re-register with the National Secretariat for Non-Governmental Organizations (NGO Secretariat) under the Voluntary Social Service Organizations (Registration and Supervision) Act No. 31 of 1980.<\/li>\n\n\n\n<li>Documentation for clearance from key government bodies, including the Ministry of Defence and the Ministry of Foreign Affairs, before a permanent registration certificate is issued in the clearance process.<\/li>\n<\/ul>\n\n\n\n<p><strong>&nbsp;A government official was recently appointed as the new Director-General of the National Secretariat for Non-Governmental Organizations. Her appointment in September 2025 ended the six-month leadership vacuum that had completely halted all NGO registrations and amendments since March.<\/strong><\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>In 2025, the NGO secretariat officially launched a new digitalized web portal for Applications. This new portal has become the main method to submit applications, annual reports, and other required documents.<\/li>\n\n\n\n<li>Another key change in 2025 is the mandatory requirement to obtain the&nbsp; <strong>&#8220;Confirmation Letter of Eligibility for Registration&#8221; from the National Secretariat for non-governmental organizations. This letter acts as a permission slip allowing the new NGO to open a bank account. This requirement is confirmed by the central Bank circular on April 2025&nbsp;<\/strong><\/li>\n\n\n\n<li>Proposed New Law (Non-Governmental Organizations (Registration and Supervision) Act), the draft bill meant to replace the current 1980 Act is still under discussion. Reports indicate that the government has delayed its implementation. Civil society groups have raised concerns about the draft\u2019s potential to increase political oversight and impose stricter rules.<\/li>\n\n\n\n<li><strong>Shift in Regulatory Oversight &amp; Mandatory Re-registration&nbsp;<\/strong><\/li>\n<\/ul>\n\n\n\n<p>Even though the foreign and domestic NGOs are already incorporated under the Companies Act No. 07 of 2007, as Companies limited by Gurantee, they have to exclusively re-register with the NGO secretariat.<\/p>\n\n\n\n<p>The registration process now has a strict clearance process, which is more complex and time-consuming because the applications are screened by the Ministry and Defence, the Ministry of Foreign Affairs, and other line ministries.&nbsp;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Data Protection Compliance on the Horizon<\/strong><\/li>\n<\/ul>\n\n\n\n<p>Data protection compliance is now in effect with parts of the Personal Data Protection Act (PDPA) No.9 of 2022. Even though the full enforcement is still pending, NGOs must begin to be compliant when handling sensitive personal data..<\/p>\n\n\n\n<p>In early 2025, some key provisions related to data processing, data subject rights, and penalties were initially scheduled to come into effect, but were postponed. Instead, they operate on donations and funds.<\/p>\n\n\n\n<p>This means that they have to be twice as more accountable and legally compliant than any other business type out there.<\/p>\n\n\n\n<p>But how does an NGO do that?<\/p>\n\n\n\n<p>For starters, you will need to register your NGO in Sri Lanka.&nbsp;<\/p>\n\n\n\n<p>This is the most basic and important step in protecting your NGO.<\/p>\n\n\n\n<p>However, registering an NGO in Sri Lanka can be a little tricky.<\/p>\n\n\n\n<p>This blog will walk you through the entire registration process step-by-step<\/p>\n\n\n\n<div class=\"wp-block-buttons is-horizontal is-content-justification-center is-layout-flex wp-container-core-buttons-is-layout-499968f5 wp-block-buttons-is-layout-flex\">\n<div class=\"wp-block-button ctat\"><a class=\"wp-block-button__link wp-element-button\" href=\"\/srilanka\/contact\/\">Get Expert Advice for Free<\/a><\/div>\n<\/div>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"1\">What is an NGO?<\/h2>\n\n\n\n<p>An NGO or a Non-Governmental organisation is a voluntary citizens group. They can function on a local, national or even international level.<\/p>\n\n\n\n<p>Their main intention is to find solutions for issues faced by a target group of people. By finding these solutions and executing them, NGOs serve the public.<\/p>\n\n\n\n<p>You might have heard about the very popular international NGO like the Red Cross or Amnesty International.<\/p>\n\n\n\n<p>In Sri Lanka, organisations like Women in Need or Save the Children exist.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"2\">How-to: Qualify as an NGO<\/h2>\n\n\n\n<p>NGOs in Sri Lanka are under the National Secretariat for Non Governmental Organizations.&nbsp;<\/p>\n\n\n\n<p>In addition, they\u2019re also guided by the Voluntary Social Services Organizations (Registration &amp; Supervision) Act.&nbsp;<\/p>\n\n\n\n<p>They\u2019ve defined what it will take for you to qualify as an NGO:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Any organization formed by a group of persons on a voluntary basis or participation<\/li>\n\n\n\n<li>Non-Governmental (works independently from the Government)&nbsp;<\/li>\n\n\n\n<li>Has to be not for profit (will not work towards creating profit in the organization)&nbsp;<\/li>\n\n\n\n<li>Can not share profit or surplus earnings among members&nbsp;<\/li>\n\n\n\n<li>Organization will be dependent on public contributions, charities, grants, payable by government or donations local or foreign in carrying out its functions<\/li>\n\n\n\n<li>Shall not be self-serving in aims and related values Constitution and other activities shall be within legal framework and social values of the country<\/li>\n\n\n\n<li>Has its main objectives carried out by the organization.&nbsp;<\/li>\n<\/ul>\n\n\n\n<p>In summary, your NGO should:&nbsp;<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Have clear objectives of how it will help the public&nbsp;<\/li>\n\n\n\n<li>Not have the purpose of making profits<\/li>\n\n\n\n<li>Work independently from the Government&nbsp;<\/li>\n<\/ol>\n\n\n\n<p>For example: An NGO can have a budget and receive funding from a Government institute for a specific set of objectives. However the Gov. institute cannot get directly involved with the actions or oversee decisions carried out by the NGO.<\/p>\n\n\n\n<p>Your NGO will classify as either:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Operational<\/li>\n<\/ul>\n\n\n\n<p>Operational NGOs work on small changes through specific projects;<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Campaign related<\/li>\n<\/ul>\n\n\n\n<p>Campaign related NGOs aim for large changes by influencing the political system. For example, there are NGOs like research institutes. These research institutes work to increase knowledge and public understanding of issues.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"3\">Why should I register my NGO?<\/h2>\n\n\n\n<p>Before the 1990s regulations were pretty relaxed on NGOs. However, this made the public very concerned about the misuse of funds.<\/p>\n\n\n\n<p>Due to this, the Sri Lankan government created laws to regulate NGOs. These laws required NGOs to register and work within the framework of Government policies.<\/p>\n\n\n\n<p>This might make you feel a little uneasy about running an NGO &#8211; but there are pros to this.<\/p>\n\n\n\n<p>Having your NGO registered gives it credibility and security because all your work is audited and within the legal framework.<\/p>\n\n\n\n<p>This makes it easier for your NGO to receive funding and donations by donors as well.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\" id=\"4\">How-to: Register an NGO in Sri Lanka<\/h2>\n\n\n\n<p>In Sri Lanka, registering an NGO is a two part process:&nbsp;<\/p>\n\n\n\n<p>Part One: Incorporate your organization as a Company Limited by Guarantee (CLG)<\/p>\n\n\n\n<p>Part Two: Apply to register your Company Limited by Guarantee (CLG) as an NGO<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">What is a Company Limited by Guarantee?<\/h2>\n\n\n\n<p>A Company Limited by Guarantee (CLG) or a Limited by Guarantee Companies are mostly formed by non-profit organizations to:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Have a separate legal entity from its owners.&nbsp;&nbsp;<\/li>\n<\/ol>\n\n\n\n<p>When the company has its own legal identity, it protects both you and other stakeholders.<\/p>\n\n\n\n<p>As a result of this yours and your stakeholders\u2019 personal finances won\u2019t get involved in the work of the company.<\/p>\n\n\n\n<ol start=\"2\" class=\"wp-block-list\">\n<li>Enjoy limited financial liability<\/li>\n<\/ol>\n\n\n\n<p>When you incorporate a CLG, it\u2019s owned by guarantors who agree to pay a set amount of money if there is a company debt.&nbsp;<\/p>\n\n\n\n<p>However, there are no shares or shareholders in the company.<\/p>\n\n\n\n<p>The term \u2018limited\u2019 also helps build trust and confidence in investors.<\/p>\n\n\n\n<p>In addition, it gives your company professional credibility.&nbsp;<\/p>\n\n\n\n<p>Let\u2019s look at how you can incorporate a Company Limited by Guarantee.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Part one: Incorporating a Company Limited by Guarantee (CLG)<\/h2>\n\n\n\n<p>This is technically called an \u201cincorporation of an entity as a company limited by guarantee\u201d.<\/p>\n\n\n\n<p>It\u2019s done through the Department of Registrar of Companies (ROC).<\/p>\n\n\n\n<p>Your company will become a distinct legal entity once it&#8217;s registered.<\/p>\n\n\n\n<p>Having a distinct legal entity will separate it from you and its owners.<\/p>\n\n\n\n<p>So in a court of law, your Company Limited by Guarantee will be seen as a separate entity from you and its other owners.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 01: Company name check&nbsp;<\/h3>\n\n\n\n<p>Every company needs to have a unique name.&nbsp;<\/p>\n\n\n\n<p>But how can you know whether your company\u2019s name is unique or not?<\/p>\n\n\n\n<p>To do this, you can head over to the <a href=\"https:\/\/eroc.drc.gov.lk\/home\/search\" target=\"_blank\" rel=\"noreferrer noopener\">official website of ROC<\/a> and search for the name you have chosen.&nbsp;<\/p>\n\n\n\n<p>You can also check your company name\u2019s availability <a href=\"https:\/\/simplebooks.com\/srilanka\/company-name-check\/\">here<\/a>.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 02: Name Approval<\/h3>\n\n\n\n<p>Once you verify that your company name is unique; you will need to reserve it.<\/p>\n\n\n\n<p>In order to do this, you will have to either create an account with the ROC or login.&nbsp;<\/p>\n\n\n\n<p>Once you do, click on \u201cName Reservation\u201d and reserve your company\u2019s name.<\/p>\n\n\n\n<p>When you reserve your company name, it will only be valid for 3 months from the date of application. You need to incorporate your company within this time.<\/p>\n\n\n\n<p>If you&#8217;re unable to register your company within three months, you will have to request a renewal.&nbsp;<\/p>\n\n\n\n<p>This renewal also must be applied for another period of 3 weeks.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 03: Draft your Objectives and Articles of Association<\/h3>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Your company\u2019s objective should include what you aim to achieve through the organisation.<br><\/li>\n\n\n\n<li>As a Company Limited by Guarantee, you can either:<br><br>Adopt the standard set of Articles of Association in Table A of the Companies Act of Sri Lanka<br><strong>Or<\/strong><br>Draft your own Articles of Association<\/li>\n<\/ul>\n\n\n\n<p>In addition, According to the Companies Act No. 7 of 2007, the articles of association of a company limited by guarantee need to include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The objectives of the company<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>The amount each member of the company will agree to pay and settle debts if the company has to shut down.<\/li>\n<\/ul>\n\n\n\n<p>Once you have both your objectives and articles of association drafted, you should submit them to the Registrar of Companies for approval.<\/p>\n\n\n\n<p>Useful reading material: <a href=\"https:\/\/simplebooks.com\/srilanka\/articles-of-association\/\">Here&#8217;s how you can draft your Articles of Association the right way<\/a><\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 04: Publish your Objectives and Articles of Association<\/h3>\n\n\n\n<p>As you submit your objectives and articles of association to the Registrar, you need to also publish them in at least one newspaper in all three languages.<\/p>\n\n\n\n<p>Remember, you should not wait for the Registrar to approve your objectives and articles in order to do this.<br><br>After you publish them, anyone with reason can object to your articles of association within 21 days.&nbsp;<\/p>\n\n\n\n<p>If there are no objections, you can proceed to the next step.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 05: Submit forms 05, 18 and 19<\/h3>\n\n\n\n<p>After you get your company name approved, you will need to complete and submit:<\/p>\n\n\n\n<p>1. Form 05<\/p>\n\n\n\n<p>2. Form 18<\/p>\n\n\n\n<p>3. Consent of Secretary&nbsp;<\/td><td>Rs. 2000.00 + VAT (8%)<\/td><td>You can find Form 19 at: <a href=\"http:\/\/www.drc.gov.lk\/en\/?page_id=1998\" target=\"_blank\" rel=\"noreferrer noopener\">Download Forms \u2013 Department of Registrar of Companies<\/a><\/td><\/tr><\/tbody><\/table><\/figure>\n\n\n\n<p>Remember, you need to make sure that these forms are printed.<\/p>\n\n\n\n<p>The DRC doesn\u2019t accept hand-written forms anymore.&nbsp;<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 06: Submit your approved Articles of Association<\/h3>\n\n\n\n<p>Once the Registrar approves your articles of association, submit two copies of your approved articles along with Forms 05, 18, and 19.<\/p>\n\n\n\n<p>This will cost you Rs. 2,000 + VAT (8%).<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 07: Give public notice of incorporation<\/h3>\n\n\n\n<p>This is the final step in registering a Company Limited by Guarantee.<\/p>\n\n\n\n<p>Once the ROC approves your documents, they will issue a Certificate of Registration and a Business License.<\/p>\n\n\n\n<p>Afterwards, they will publish the:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Name of the Company<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Registration number<\/li>\n<\/ul>\n\n\n\n<ul class=\"wp-block-list\">\n<li>Registered Address and the principal place of business if it differs from the registered address of the Company<\/li>\n<\/ul>\n\n\n\n<p>in the Gazette and at least one newspaper in all three languages.<\/p>\n\n\n[et_pb_section global_module=\"25606 \"][\/et_pb_section]\n\n\n\n<h2 class=\"wp-block-heading\">Part two: Apply to register an NGO under your Company Limited by Guarantee<\/h2>\n\n\n\n<p>Once you\u2019ve incorporated your Company Limited by Guarantee, you need to register your NGO under it.<br><br>To do this, you\u2019ll need to make an application to the National Secretariat for Non-Governmental Organisations (NS-NGO).&nbsp;<\/p>\n\n\n\n<p>This can be done <a href=\"http:\/\/www.ngosecretariat.gov.lk\/index.php?option=com_ngo&amp;view=activemember&amp;Itemid=146&amp;lang=en\">online<\/a> in 10 steps.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Step 01:&nbsp;
