Address&nbsp;<\/p>\n\n\n\n<p>2. Directors&nbsp;<\/p>\n\n\n\n<p>3. Shareholder&nbsp;<\/p>\n\n\n\n<p>4. Auditors<\/p>\n\n\n\n<p>5. Shares&nbsp;<\/p>\n\n\n\n<p>If there\u2019s any change made to this information, you have to mention it when you\u2019re filing in your Annual Returns.&nbsp;<\/p>\n\n\n\n<p>Once Form 15 is completed, it has to be submitted to the ROC within 30 days of the last AGM that was held by your company.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">When do I file in Form 15?<\/h2>\n\n\n\n<p>You need to file your first Annual Return 18 months after you have registered your company.&nbsp;<\/p>\n\n\n\n<p>After that, you need to file them every 12 months.&nbsp;<\/p>\n\n\n\n<p>All annual returns (Form 15) must now be filed electronically through the official <a href=\"https:\/\/eroc.drc.gov.lk\/\" target=\"_blank\" rel=\"noreferrer noopener\">eROC website.<\/a><\/p>\n\n\n\n<h2 class=\"wp-block-heading\">How do I file Annual Returns in Sri Lanka?<\/h2>\n\n\n\n<p>Filing your Annual Returns in Sri Lanka is a two-step process:<br><br><strong>Step 01<\/strong> &#8211; Hold an Annual General Meeting (AGM)<\/p>\n\n\n\n<p><strong>Step 02<\/strong> &#8211; File Form 15<\/p>\n\n\n\n<div class=\"wp-block-buttons is-horizontal is-content-justification-center is-layout-flex wp-container-core-buttons-is-layout-499968f5 wp-block-buttons-is-layout-flex\">\n<div class=\"wp-block-button ctat\"><a class=\"wp-block-button__link wp-element-button\" href=\"\/srilanka\/contact\/\">Get expert advice for free<\/a><\/div>\n<\/div>\n\n\n\n<p>Let\u2019s take a look at these steps in detail.&nbsp;<\/p>\n\n\n\n<h2 class=\"wp-block-heading\">Step 01 &#8211; Hold an Annual General Meeting (AGM)<\/h2>\n\n\n\n<p>An AGM is a compulsory yearly meeting every Limited Company needs to hold.&nbsp;<\/p>\n\n\n\n<p>The Board of Directors are responsible for holding the AGM every year.<\/p>\n\n\n\n<p><br>Here, the Directors will present an annual report about the company\u2019s performance and work strategy to the Shareholders.&nbsp;<\/p>\n\n\n\n<p>The shareholders will vote on the current issues of the company.&nbsp;&nbsp;<\/p>\n\n\n\n<p>These issues can range from:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>&nbsp;Appointments to the board of Directors<\/li>\n\n\n\n<li>Dividend payments<\/li>\n\n\n\n<li>Executive compensation&nbsp;<\/li>\n\n\n\n<li>Selection of auditors<\/li>\n<\/ol>\n\n\n\n<p>and etc.&nbsp;<\/p>\n\n\n\n<p>Holding the AGM is the first step to filing Annual Returns.&nbsp;<\/p>\n\n\n\n<h6 class=\"wp-block-heading\">Important things to remember,<\/h6>\n\n\n\n<p>The first AGM after registering your company has to take place within 18 months.<\/p>\n\n\n\n<p>After the first AGM, every other AGM has to be held within 12 months.&nbsp;<\/p>\n\n\n\n<p>You also have to hold your AGM:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Within 6 months from the balance sheet&nbsp;<\/li>\n\n\n\n<li>Before 15 months after the last AGM.&nbsp;<\/li>\n<\/ol>\n\n\n\n<h6 class=\"wp-block-heading\">If you&#8217;re unable to hold an AGM,<\/h6>\n\n\n\n<ol class=\"wp-block-list\">\n<li>The Directors of the company have to pass resolutions regarding all issues that were supposed to be discussed during the AGM.&nbsp;<\/li>\n<\/ol>\n\n\n\n<ol start=\"2\" class=\"wp-block-list\">\n<li>85% of the shareholders have to sign these resolutions.&nbsp;<\/li>\n<\/ol>\n\n\n\n<ol start=\"3\" class=\"wp-block-list\">\n<li>Afterwards, the resolutions have to be submitted to the ROC with the Form 15.<\/li>\n<\/ol>\n\n\n\n<ol start=\"4\" class=\"wp-block-list\">\n<li>This Resolution must be signed by 85% of the shareholders and then submitted with the Form 15 to ROC.<\/li>\n<\/ol>\n\n\n\n<h2 class=\"wp-block-heading\">Step 02 &#8211; File Form 15<\/h2>\n\n\n\n<p>Once you either:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Hold an AGM&nbsp;<\/li>\n<\/ol>\n\n\n\n<p>OR<\/p>\n\n\n\n<ol start=\"2\" class=\"wp-block-list\">\n<li>Pass resolutions (if you\u2019re unable to hold an AGM)<\/li>\n<\/ol>\n\n\n\n<p>all that\u2019s left to do is fill in and submit Form 15 within 30 working days of this.&nbsp;<\/p>\n\n\n\n<p>The Board of Directors are responsible for filing this document.&nbsp;<\/p>\n\n\n\n<p>Remember, all the details need to be printed. The Registrar of Companies does not accept hand written forms.&nbsp;<\/p>\n\n\n\n<p>You can now file your annual return entirely through a digital process. It is described as follows,<\/p>\n\n\n\n<p><strong>eROC account setup:<\/strong> Directors and company secretaries must have individual user accounts on the eROC portal. The companies that registered before the launch of eROC system must first be \u201cconnected\u201d to those user accounts by submitting a request to the ROC.&nbsp;<\/p>\n\n\n\n<p><strong>Online preparation: <\/strong>The company secretary or director must log in to the eROC account to prepare the annual return by filing in the required information directly on the portal.&nbsp;<\/p>\n\n\n\n<p><strong>Download &amp; Sign: <\/strong>The eROC system generates the completed form 15. This official form must be downloaded and physically signed by both the director and the company secretary.&nbsp;<br><strong>Upload &amp; Pay: <\/strong>The scanned, signed form must then be uploaded back to the eROC portal, and the statutory fees must be paid online to complete the submission.<\/p>\n\n\n\n<p>Here\u2019s how you fill in Form 15.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Part 01 &#8211;
