Terms of Service

This Terms of Service and Privacy Policy (“Agreement”) constitutes a legally binding contract between Simplebooks (Private) Limited, a company incorporated under the Companies Act, No. 7 of 2007 of Sri Lanka (“Company”, “Simplebooks”, “we”, “us”, or “our”), and the user accessing or using the Company’s website, www.simplebooks.com, and related services (“Client”, “User”, or “You”).
By accessing or using the Company’s Services (collectively, the “Services”), the Client acknowledges that they have read, understood, and agreed to be bound by this Agreement. If the Client does not agree, access to the Services must be immediately discontinued.

1. Scope of Services

1.1. Simplebooks provides professional services including, but not limited to, bookkeeping, accounting, payroll, tax advisory, tax filing, and related consultancy services.

1.2 Services are primarily intended for individuals and businesses operating within Sri Lanka, unless expressly agreed otherwise in writing.

2. Eligibility

2.1. The Client represents and warrants that they are at least eighteen (18) years of age and possess the legal capacity to enter into a binding contract under Sri Lankan law.

2.2. The Client further represents and warrants that all information provided to Simplebooks is true, accurate, current, and complete.

2.3. The Client confirms that they are not providing personal data of minors under the age of eighteen (18).

3. Fees and Payment

3.1. All fees for the Services shall be as published on the Website or as otherwise agreed in writing.

3.2. Payments shall be made in Sri Lankan Rupees (LKR) via approved payment methods.

3.3. Failure to remit payment in accordance with the agreed terms may result in suspension or termination of Services at the Company’s discretion.

4. Cancellations & Refunds

4.1. Cancellations and refunds are governed exclusively by Simplebooks’ Return & Refund Policy, which is incorporated herein by reference and forms part of this Agreement.

5. Intellectual Property

5.1. All intellectual property rights in the Website and Services, including but not limited to trademarks, copyrights, and proprietary materials, remain the exclusive property of Simplebooks.

5.2. The Client is granted a limited, non-exclusive, non-transferable license to access and use the Services solely for lawful purposes and in accordance with this Agreement.

6. Confidentiality

6.1. Each Party shall maintain the confidentiality of all non-public information obtained in the course of providing or receiving Services, except as required by law or regulatory authorities.

7. Limitation of Liability

7.1. To the maximum extent permitted by law, Simplebooks shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the provision or use of the Services.

7.2. Compliance with tax, regulatory, or other legal obligations remains the Client’s sole responsibility. Simplebooks’ liability shall not exceed the fees paid by the Client for the relevant Service.

8. Governing Law and Jurisdiction

8.1. This Agreement shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka.

8.2. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the competent courts of Colombo, Sri Lanka.

Privacy Policy

Personal Data Collected

Personal Information: Name, address, email, contact number, tax identification number, and payment details.

Financial Data: Accounting records, invoices, tax filings, payroll records, and other submitted documents.

Technical Data: IP address, browser type, device identifiers, and website analytics.

Lawful Basis for Processing

Personal data is processed based on the following legal grounds:

  • Consent of the Client;
  • Fulfilment of contractual obligations;
  • Compliance with legal obligations;
  • Protection of legitimate interests of Simplebooks and its Clients.

Use of Personal Data

Personal data is used to:

  • Provide, manage, and improve Services;
  • Process payments securely;
  • Comply with tax, regulatory, or other legal obligations;
  • Communicate regarding accounts, filings, or Services;
  • Detect fraud, manage risk, and ensure legal compliance.

Data Retention

Personal data shall be retained only as long as necessary to provide Services, comply with legal obligations, or resolve disputes.

Once no longer required, personal data shall be securely deleted or anonymised.

Data Security

Commercially reasonable technical, physical, and administrative safeguards shall be implemented to protect personal data from unauthorised access, disclosure, or misuse.

Third-Party Disclosure

Personal information shall not be sold or rented.

Disclosure may occur to:

  • Service providers engaged to facilitate operations (e.g., payment gateways, IT service providers);
  • Regulatory authorities where required by law. For any transfers of personal data outside Sri Lanka, appropriate safeguards shall be implemented in accordance with the PDPA (Personal Data Protection Act, No. 9 of 2022).

User Rights

Clients have the right to request access, correction, or deletion of their personal data, subject to legal or contractual restrictions.

Consent to marketing communications may be withdrawn at any time.

Clients shall be notified in accordance with the PDPA in the event of any personal data breach affecting their information.
